Terms and Conditions of Use

Use of eKnowledgehub.com ("Site") services provided by eKnowledgehub Corp.("Company") through Site ("Services") is governed by the Customer Agreement for Services ("Terms") set forth herein. SIGNING UP FOR ANY SERVICES SHALL BE DEEMED ACCEPTANCE OF THESE TERMS.

Company may at anytime revise and update these Terms by updating this document on Site. You are encouraged to periodically visit the Terms page found here to review the most current Terms to which you are bound. If you do not agree to these Terms, please do not use Services. Terms last updated on September 15, 2013.

You warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are a user under the age of 18, you may not register for an account without consent and approval from your legal parent or guardian.

If you are at least 18 years of age and you are the legal parent or guardian of a child that seeks to register a child to use the Site and Services ("Child Member"), you may register a parent account on the Site ("Parent Member"). If you are a Parent Member you may create, register, manage and approve Child Member accounts only for your own children, or children for whom you are a legal guardian. A Parent Member account, along with all associated Child Member accounts, may be terminated by Company at any time and without warning for any failure to abide by these Terms. IF YOU REGISTER, APPROVE THE REGISTRATION OF, OR OTHERWISE ASSUME RESPONSIBILITY FOR ANY CHILD MEMBER, YOU REPRESENT AND WARRANT THAT YOU ARE SUCH CHILD MEMBER'S LEGAL PARENT OR GUARDIAN AND YOU AGREE TO BE BOUND BY THE TERMS ON BEHALF OF SUCH CHILD MEMBER, INCLUDING WITHOUT LIMITATION BEING LIABLE FOR ALL USE OF THE WEBSITE BY THE CHILD MEMBER. You acknowledge that Company may choose, but is not obligated, to make any inquiries, either directly or through third parties, that Company deems necessary to validate registration information, including without limitation engaging third parties to provide verification services. Company reserves all rights to take legal actions against anyone who misrepresents personal information or is otherwise untruthful about their identity. NOTWITHSTANDING THE FOREGOING, YOU ACKNOWLEDGE THAT COMPANY CANNOT GUARANTEE THE ACCURACY OF ANY INFORMATION SUBMITTED BY ANY USER AND COMPANY IS NOT OBLIGATED TO VERIFY THE IDENTITY OF ANY USER, INCLUDING ANY USER'S CLAIM TO BE A PARENT MEMBER, OR TO VERIFY THAT A PARENT IDENTIFIED BY A CHILD MEMBER IS SUCH CHILD MEMBER'S ACTUAL PARENT OR GUARDIAN.

Services

Site provides a online courses to be taught by independent contractor instructors through Site ("Services"). To review Company Privacy Policy with respect to data you provide for use of the Services, click here. You agree that you will not reproduce, copy, duplicate, sell, resell, rent or trade the Service, or any portion thereof, for any purpose.

Modifications to the Services

Company reserves the right, at any time or from time to time, to modify, suspend or discontinue the Services (or any part thereof), temporarily or permanently, for any reason, with or without notice to you. Prices of all Services are subject to change upon thirty (30) days notice from us. Without limiting the foregoing, eKnowledgehub Corp. may provide notice of any such changes by posting them on its website eKnowledgehub.com. Company shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services. You acknowledge that Company has no express or implied obligation to provide, or continue to provide, the Service, or any part thereof, now or in the future.

Unauthorized Access to your Account

Company is not responsible in any way, for any unauthorized entry into your account or responsible for any consequences of your personal data being viewed or printed by someone who gained authorized or unauthorized access to your personal account.

Interruption of Service

Company and it suppliers assume no responsibility for, or relating to, the interruption, failure, loss, damage, delay or corruption of any data that is transmitted in uploading or posting to Site or through the use of Services.

Fees

The Fees are payable in advance via Paypal credit card processing. Refunds are only available prior to the third week of class. You may request a refund by sending an email to support@eKnowledgehub.com or by clicking the applicable "refund" button located on eKnowledgehub.com.

Restrictions

You may view, download and copy information and materials provided by Company on Site. As a condition of use, you agree not to modify or revise any of the material in any manner, and to retain all copyright and other proprietary notices as contained in the original materials on any copies of the materials. No other use of the materials or information is authorized. Any violation of the foregoing may result in civil and/or criminal liabilities. Any posting by you on the Site, including but not limited to notes, questions, comments, ratings, reviews, images and videos or any other communication ("User Postings") are not subject to any conditions of confidentiality. Further, by submitting User Postings through Site, you hereby grant to Company a worldwide, non-exclusive, transferable, assignable, fully paid-up, royalty-free, perpetual, irrevocable right and license to use the User Postings in any manner deemed acceptable by Company. You are solely responsible for User Postings. By uploading, submitting, creating, or publishing your User Postings to or through the Site, you affirm, represent, and warrant that: (1) you are the creator and owner of or have the necessary licenses, rights, consents, and permissions to use and to authorize Company and Company's users to use and distribute your User Postings; (2) your User Posting does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right or (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; (3) your User Posting does not contain any viruses, adware, spyware, worms, or other malicious code. Violators of these third-party rights may be subject to criminal and civil liability. Company reserves all rights and remedies against any user who violates these provisions.

Prohibited Conduct

The Services may contain email services, bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable you to communicate with others (each a "Communication Service" and collectively "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using the Communication Services, you will not:

1. Use the Communication Services in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).
2. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

3. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.

4. Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless Instructor own or control the rights thereto or have received all necessary consent to do the same.

5. Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.

6. Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.

7. Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Services specifically allows such messages.

8. Download any file posted by another Instructor of a Communication Service that Instructor know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.

9. Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.

10. Restrict or inhibit any other Instructor or user from using and enjoying the Communication Services.

11. Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.

12. Harvest or otherwise collect information about others, including email addresses.

13. Violate any applicable laws or regulations.

14. Create a false identity for the purpose of misleading others.

15. Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of Instructors of the Services or other Instructor or usage information or any portion thereof.
 

Monitoring

Company shall have the right, but not the obligation, to monitor the content of eKnowledgehub.com, including chat rooms and forums, to determine compliance with this Agreement and any operating rules established by Company and to satisfy any law, regulation or authorized government request. Company shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on eKnowledgehub.com. Without limiting the foregoing, Company shall have the right to remove any material that Company, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

Warranties and Liability

Company makes NO WARRANTY that: (i) the Services will meet your requirements or expectations; (ii) the Services will be timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data; (iii) bugs or errors will be corrected; and (iv) that any Content you may store or access through the Services will not be subject to inadvertent damage, corruption or loss. The Services are provided to you strictly on an "as is" basis. All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third party rights, are hereby disclaimed to the maximum extent permitted by applicable law. No advice or information, whether oral or written, obtained by you from Company or through or from the Services shall create any warranty not expressly stated herein.

Disclaimer

You indemnify, release and hold harmless Company from any and all liabilities associated with the performances of Services and all liability for damage or loss that may result from the actions of Company, its agents or service representatives.

COMPANY MAKES NO WARRANTIES OR GUARANTEES ABOUT THE SERVICES PROVIDED HEREUNDER, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR SERVICE AVAILABILITY. IT IS EXPRESSLY AGREED THAT COMPANY SHALL HAVE NO LIABILITY TO YOU FOR ANY LOSS IN ANY MANNER OR FORM NOW OR AT ANY TIME IN THE FUTURE UNDER ANY LEGAL OR EQUITABLE THOERY, WHETHER IN TORT, CONTRACT, STRICT LIABILITY, OR OTHERWSIE. SERVICE PROVIDER SHALL NOT BE LIABLE TO CLIENT FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF ANY USE OF THE SERVICES, EVEN IF MADE AWARE OF THE POSSIBILITY OF SUCH LOSSES.

Company is a distributor (and not a publisher) of content supplied by third parties and Instructors. Accordingly, Company has no more editorial control over such content than does a public library, bookstore, or newsstand. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers, Instructors or any other user of eKnowledgehub.com, are those of the respective author(s) or distributor(s) and not of Company. Neither Company nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content, nor its merchantability or fitness for any particular purpose. In many instances, the content available through eKnowledgehub.com represents the opinions and judgments of the respective information provider, Instructor, or other user not under contract with Company. Company neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on eKnowledgehub.com by anyone other than authorized Company employee spokespersons while acting in their official capacities. Under no circumstances will Company be liable for any loss or damage caused by reliance on information obtained through eKnowledgehub.com. It is the responsibility of user to evaluate the accuracy, completeness or usefulness of any information, opinion, advice or other content available through Site. Please seek the advice of professionals, as appropriate, regarding the evaluation of any specific information, opinion, advice or other content. Company does not permit copyright, trademark, or other intellectual property infringing activities on Site and may remove any such material without warning to you.

Force Majeure

Company shall not be responsible for failure or delays of Services that arise out of or results primarily from fire, storm, flood, earthquake or other acts of God, explosions, wars, insurrections, strikes, work stoppages or slowdowns, epidemic or quarantine restrictions, or unforeseen equipment failure.

Term and Termination of Use

These Terms shall remain in effect unless the Services are terminated. If you wish to terminate your user account, please send your request to support@eKnowledgehub.com Company will not accept notices of cancellation given by any other means. Company may, in its sole discretion, terminate or suspend your access to all or part of the Services for any reason, including without limitation, breach of this agreement. In the event this agreement is terminated the indemnities and limitation of liabilities set forth in the Terms shall survive any such termination. Company may delete all of your content from the Services thirty days after termination, unless your account is reactivated during that period (which Company may agree to at its sole discretion and upon payment of any outstanding Fees). Company will delete all of your content before that if you request such deletion in writing to support@eKnowledgehub.com Your content cannot be recovered once deleted.

Intellectual Property rights

You acknowledge that all intellectual property rights in the Services throughout the world belong to Company, Instructors or its licensors, that rights in the Services are licensed (not sold) to you, and that you have no rights in, or to, the Services other than the right to access it in accordance with these terms.
Company acknowledges that all content displayed by you using Services belongs to you or your licensors. You agree that Company can use, reproduce, modify, display and distribute your Content on and through the Service (including any third-party infrastructure). This license is non-exclusive, perpetual, irrevocable, royalty-free, sub-licensable and worldwide, but only extends to what is reasonably necessary for Company to provide and manage the Service.

Governing Law; Jurisdiction and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois exclusive of its choice of law principles. The state and federal courts of Illinois shall have exclusive jurisdiction and venue over any dispute arising out of or relating to this Agreement, and each party hereby consents to the jurisdiction and venue of such courts.

General Provisions

If any provision of this agreement is deemed void, unlawful or otherwise unenforceable for any reason, that provision shall be severed from this agreement and the remaining provisions of this agreement shall remain in force.
